This is the End-User License Agreement (EULA) and Terms of Service ("Terms" or “User Terms”) for "Subfeed" (the “Platform” or “App”). These Terms govern your access and use of our of online workspace platform, whether via website, mobile application, widgets, emails, and other digital offerings (collectively the "Service” or "Services") provided by Subfeed (“We,” “Us,” or “Our”). The term “you” and “Your” refers to you as the user of the Service.
These terms are legally binding. By accessing, using or otherwise utilizing the Services, you affirm your capacity to enter into a binding contract with Subfeed, your consent to these Terms, and your commitment to adhere and comply with them. Accessing or using our Services, implicates you have read, understood and agreed to be legally bound by our Terms and adhere to our Privacy Policy and Community Guidelines. If you disagree with any portion of these Terms, you are not authorized to use the Service. This Agreement encompasses all individuals accessing our Services, irrespective of their registration, account or subscription status. If you represent a business or entity while accessing or using the Services, then: (a) references to "you" encompass both you and the respective entity; (b) you attest that you have the authority to bind said entity to these Terms and assent to them on its behalf; and (c) your entity assumes legal and financial liability for your Service interactions and those of affiliated individuals, including employees, agents, or contractors.
Subfeed is a workspace for content creators where you can create multiple private feeds and work on content before its ready to be published, alone or with a team.
In these Terms “Content” means text, graphics, images, audio, video, and information or all other materials that are posted, generated, provided or otherwise made available through the Service; and “User Content” or “Your Content” means any Content that you or any other account holders provide to be made available through the Service.
We do not claim any ownership rights in your or any User Content and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit your User Content.
Our Content. While you retain any proprietary rights in User Content, you hereby give Subfeed the subsequent licensing rights over the said Content:
Between you and Subfeed, all content and intellectual property (“Our Content”), including but not limited to software, images, text, graphics, logos, patents, trademarks, copyrights, and the Services' appearance, are either owned or licensed by Subfeed.
Unauthorized utilization of Subfeed Content" is prohibited. Such content may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited or used in any manner without Subfeed prior written consent. All rights not expressly granted are reserved by Subfeed and its licensors.
Unauthorized use of our content. It is understood that you or your licensors will own any User Content you upload or transmit through the Services. Unauthorized use of Subfeed Content," or any materials from the Service, is strictly prohibited. No portion of this content is to be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited without prior written authorization from Subfeed. All rights not explicitly granted are reserved by Subfeed and its licensors. including all associated intellectual property rights.
Rights in Content Granted by Subfeed. Subject to your compliance with these Terms, Subfeed grants to you a limited, non-exclusive, non-transferable license, with no right to sublicense, to download, view, copy, display and print the Content solely in connection with your permitted use of the Services and solely for your personal and non-commercial purposes.
Your content and User Content Rights Granted by You. Upon account creation and/or by making any User Content available through the Service, you grant Subfeed a perpetual, worldwide, royalty-free, irrevocable, non-exclusive, transferable, and sublicensable right to use, reproduce, adapt, modify, derive from, distribute, retain, display, and present User Content, including related usernames, voices, or likenesses, in any media or format, known now or later developed solely for the purpose of operating and providing the Service and Content to you. And, depending on the permission you grant, to other users. This encompasses any data you permit us to retrieve from third-party sources, if relevant. Your Content may be reformatted for formatting purposes only. We does not assume liability for nor expressly or impliedly endorse or warrant the accuracy, completeness, or reliability of Your Content. You are solely responsible for ensuring your content is lawful and does not violate any rights or regulations.
Content Liability. You understand and accept that content viewed on the Services, especially that offered by other users, is accessed at your discretion and risk. We offers no warranties, implicit or explicit, regarding the accuracy, completeness, or currency of any content, including User Content. Links to third-party sites or resources, if present, are provided without any endorsement or responsibility for their content on our part. We have no obligation to monitor or edit Content.
Removing User Content. You can remove your User Content by specifically deleting it. However, some of your User Content may not be completely removed and copies of your User Content may continue to exist on the Service.
Intellectual Property. As a condition of using the Services, you agree not to violate any intellectual property rights. We reserve the right, at our sole discretion and without prior notice, to limit access or terminate accounts of users who infringe or are alleged to infringe upon copyrights or other intellectual property rights.
Rights Representation. By submitting Your Content to the Service, you warrant that you have the necessary rights, authority, and capacity to confer the licenses and rights concerning Your Content as delineated in these Terms. As the primary rights holder of Your Content, you may be exposed to legal liabilities if you circulate content without required authorizations.
Monitoring Content. While we are not obligated to monitor or Content on the Service, we reserve the right, at our sole discretion, to remove or delete Content at any time, particularly if it violates these Terms, any content policies, or poses a potential liability risk. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.
Third-Party Content. The Service may include links to external websites, integrations, products, or services provided by our affiliates, partners, or other third parties (“Third-Party Content”). We exercise no control or jurisdiction over such Third-Party Content, thereby assuming no liability for any third-party websites, products, or services. Interactions with Third-Party Content are solely at your risk, and due diligence is recommended prior to engaging in any transactions related to such content.
